1. Agreement to Terms

By accessing or using the services provided by Planeta Opinativo LDA, trading as Paiva IT, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

2. Services

Paiva IT provides technology services including but not limited to custom software development, consulting, recruiting, advisory services, and infrastructure solutions. Specific terms for individual projects or services will be defined in separate service agreements.

3. Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights in materials created by Paiva IT remain with Paiva IT until full payment is received. Upon payment, ownership of deliverables specifically created for the client transfers to the client, except for pre-existing materials and general methodologies.

4. Payment Terms

Payment terms will be specified in individual service agreements. Unless otherwise stated, invoices are payable within 30 days of issue. Late payments may incur interest at the rate permitted by Portuguese law.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of engagement. This obligation survives the termination of any service agreement.

6. Limitation of Liability

To the maximum extent permitted by law, Paiva IT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability under any service agreement shall not exceed the fees paid by the client for the specific services giving rise to the liability.

7. Termination

Either party may terminate a service engagement with written notice as specified in the applicable service agreement. Upon termination, the client shall pay for all services rendered up to the termination date.

8. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Portugal. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the Portuguese courts.

9. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
